Terms of Service

1. Acceptance of Terms
By accessing or using the Team Helix platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the platform.
These terms apply to all users of the platform, including individual users, organizations, and any third parties who access the platform on behalf of an organization.
2. Description of Service
Team Helix provides a governed autonomous software delivery platform that converts business intent into production-grade systems. The platform includes code generation, architecture decision-making, governance enforcement, deployment automation, and related services.
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We will provide at least 90 days notice for any material changes to the service.
3. Intellectual Property and Code Ownership
All code generated by the Team Helix platform for your organization belongs entirely to you. You retain full intellectual property rights over all generated output, including source code, architecture decisions, configuration files, and documentation.
Team Helix retains ownership of the platform itself, including its algorithms, models, governance engine, and user interface. Your use of the platform does not grant you any rights to the underlying technology.
You grant Team Helix a limited license to process your input data solely for the purpose of providing the service. This license terminates when you stop using the service.
4. Acceptable Use
You agree not to use the platform to generate code intended to cause harm, exploit vulnerabilities, or violate any applicable laws or regulations.
You are responsible for the governance policies you configure and the deployment decisions you authorize. Team Helix provides the tools for governance; you are responsible for defining and enforcing your organization's specific policies.
You agree not to attempt to reverse engineer, decompile, or extract the underlying models or algorithms of the platform.
5. Service Level Agreement
Team Helix commits to 99.9% uptime for the platform, measured monthly. Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 48 hours in advance.
If we fail to meet the uptime commitment in any given month, you are entitled to service credits as defined in your enterprise agreement.
6. Data Protection
We process your data in accordance with our Privacy Policy. We implement industry-standard security measures to protect your data, including encryption in transit and at rest, role-based access controls, and regular security audits.
We will notify you within 72 hours of becoming aware of any data breach that may affect your information.
7. Limitation of Liability
Team Helix shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the platform. Our total liability for any claims arising from these terms shall not exceed the amount you paid for the service in the 12 months preceding the claim.
You acknowledge that generated code should be reviewed according to your organization's governance policies before deployment to production environments.
8. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination, you retain full ownership of all code generated during your use of the platform.
We will provide a data export within 30 days of termination, including all governance logs, audit trails, and generated artifacts. After 90 days, we will delete all your data from our systems.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
10. Changes to Terms
We may update these terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the new terms.
